On the other hand, simply confirming the attendees’ understanding does not necessarily determine the actual remarks; rather, both parties’ explanations and the meeting materials must be examined.

When examining the answers presented by a company, I check the process that led to the conclusion rather than the strength of the conclusion itself. Even if the company’s note or the department’s name are attached, if the content is merely a repetition of the person presenting the explanation, it is not independent verification.

Rather than being called a committee, it is the scope of the investigation and its independence that is important.

JPX's "Principles for Handling Incidents in Listed Companies"We emphasize the necessary and sufficient scope of investigation, appropriate investigation procedures, and the independence and neutrality of investigations. We also caution against treating the name “third-party committee” as if sufficient investigation has been conducted.

In this case, the meaning of the investigation will change depending on whether we only check Watanabe’s explanation regarding the former officer or whether we examine the manner in which the senior executive expressed concerns. Furthermore, it is also important to determine how far we will relate the investigation to corporate transactions, national tax investigations, the Magozuka memo, and explanations given to the listing review committee.

If there are any matters omitted from the investigation, please provide the reasons. If you are only looking at the part related to the former officer, and are not looking at the actions of the current management team that appear in the same documents, then the selection itself becomes a subject of verification.

Check if the answer can be found in the original source material

For example, a response that “disclosure is not deemed necessary” requires the date of the decision, the person who made the decision, the facts known, the confirmation materials, and the criteria applied. If the response is “explained to the audit firm,” please indicate what was communicated and what discussions were held.

If the survey is still in progress, you can provide information about the research subject, scope of research, materials stored, immediate workplace improvement measures, and the next report due date. Please separate the matters that cannot be explained until all conclusions are reached from the methods of conducting the research that can still be explained.

Also,Official explanation from the Tokyo Stock ExchangeIn that case, if a request is made under Article 415 of the Listing Regulations, the company will be required to provide accurate information, and it will also be required to conduct an investigation and report the results if necessary. It is also possible that the scope and structure of the investigation are insufficient. Although the Association does not have this authority to request listings, the necessity for the company to provide an explanation that it can withstand a listing regulatory inquiry will be further discussed.

Public questions to the Board of Directors and Audit Committee that create answers

Do you distinguish between Watanabe's explanation and the information confirmed through interviews with the attendees and company documents, and also record any matters that do not match?

Are there any individuals, transactions, periods, or materials excluded from the investigation? Who verified the reasons for excluding them from the investigation in an independent capacity?

Did you consider any materials or explanations that contradicted the fact that the company had hired you? If you changed your decision, is the reason for the change recorded?

If you are reaching a conclusion such as "no disclosure required, unrelated to the company, no problem," can you explain the scope of your verification and the materials that support that conclusion?

The union demands verifiable answers and concrete improvements.

Please provide the facts confirmed, the matters not confirmed, the judgments, responses, and the grounds for them in accordance with the matters requested.

Even in cases where the protection of personal information is necessary, please do not lump all parties into the scope of investigation, decision-making body, company conclusions, and corrective measures into the same category for explanation.

Please complete the response by simply completing the creation of the response, and then proceed to implement the necessary improvements in the workplace environment, information management, investigation system, and disclosure decision-making, and report on the progress of these efforts.

The number of words for "appropriate" does not indicate the depth of the investigation.

We would like all members of the union to pay attention when reading the company’s explanation not only to the conclusions but also to what questions were asked and what answers were given. If we ask for the date and time but only the policy is returned, or if we ask for the materials but only the person’s explanation is provided, checking the response relationship will clarify the remaining points.

What the union is asking for is not a long answer, but a verifiable answer. Instead of increasing the use of the words “appropriate,” “sufficient,” and “careful,” please provide the documents that have been verified and the person responsible for the decision. The company’s response is judged by the quality of the questions rather than the number of adjectives used.

Last Mile Labor Union Home Page

[12

post-1376","post","type-post","status-publish","format-standard","hentry","category-lastonemileunion
["GET
