information management, and disclosure control, etc.

Given that the labor union has demanded extremely strict accountability from the company regarding employee absences, personal matters, and other matters, and has implemented disciplinary, reward and punishment committees, as well as repeated hearings, the same compliance principles should naturally apply to the company itself, its directors, listed company preparation officers, audit personnel, and information management systems.

Compliance is not a one-way device for employers to control employees.

If a company demands that employees "report," "explain," and "abide by the rules," it is only natural that it should investigate and explain its own company with even greater rigour if significant audit independence, listing review, audit information, employment regulations, and internal control issues are raised.

Moreover, the information that our labor union has obtained this time does not just remain a one-time hiring issue in the past.

There is information circulating that records have been made available to audit firms that may indicate possible employment of employees in secret, the diversion of compensation, the continuous acquisition of information through audit firm personnel, and the possibility that our management team is involved as a source of that information.

If this is true, then this case cannot be handled at all on the level of "one certified accountant changing jobs."

This is a matter that calls for a reexamination of the company’s listing review, audit independence, the management of confidential information, and the current internal control system itself.

We hereby request an official investigation and response.

1 Information that the hiring of Wafuyu Hayashi was kept secret from EY New Japan

The labor union alleged that Saito Goshi, who was the company’s chief financial officer at the time, and Wado, an auditor who was a certified public accountant at EY New Japan at the time, had involved Wado, who was also a certified public accountant, in the company’s business activities without explicitly informing EY New Japan about it, and that the compensation paid to Wado by the company was not paid directly to Wado, but instead was paid to EY New Japan through a third party.Records have been circulating that indicate that among the remuneration paid to Saito, it was distributed to Uedono.I am aware of the information regarding this.

If this is true, the nature of the problem becomes dramatically more serious.

It is not simply a matter of "employing personnel from an audit firm."

Why did the company need to involve Saito in the transaction without directly contracting or paying him?

Why didn't you openly disclose Eeyashin Nippon's involvement with Mr. Oe?

Why did they choose to distribute the rewards through Saito?

If you cannot provide a reasonable explanation for any of these,Was there no intent to obscure the relationship through the employment restrictions imposed by the audit firm, the management of independence, or internal approval procedures? This raises the natural suspicion.

The labor union does not at this time make any determinations regarding the individual employment rules of EY New Japan or the contents of the then-existing rules regarding part-time work.

However, if a certified public accountant affiliated with an audit firm has received financial benefits in a confidential manner from the audited entity or the listed preparation company, at least the auditor’s independence, conflict of interest management, and confidential information management will be compromised.
There will be a very serious need for verification of the internal approval procedures and professional ethics within the audit firm.

<ul class="swell-block-linkList Wada

2 The problem is not "side jobs," but rather the independence of auditing itself.

It is not acceptable to simply minimize this matter as a problem of internal employment regulations that simply asks whether the "prohibition of side jobs policy" was violated.

The foundation of the audit system is the existence of sufficient independence between the auditor and the audited company.

Before even considering whether there is evidence that the audit opinion was actually manipulated, if financial interests that the audit firm does not know about were provided to the audit firm employees by the audited company or its listed representative,

We must verify that there was no threat to self-interest, threat to intimacy, threat to self-review, or undue influence on audit judgments.

Moreover, if the compensation was not paid directly from the company but through the compensation of the listed company’s director, it is essential to examine it based on economic substance rather than form.

Who funded the funding?

For whom did you perform the work?

Who gave the instructions?

Who received the result or the information?

This should be judged by the actual situation.

3 Conduct a thorough investigation to determine whether there was any leakage of internal information or audit information within the audit firm.

What is even more significant is the fact that through Mr. Hideo and other EY employees from New Japan or through certified public accountants related to them, information about the internal workings of the audit firm, the audit decision-making process, information regarding listing review procedures, matters of interest to the audit team, and internal deliberations that the company or Mr. Hideo did not originally have access to were provided to us or to Mr. Hideo.

The professional accountant’s duty of confidentiality is not simply a one-way obligation not to disclose the secrets of the client’s company to the outside world.

The use of confidential information obtained through auditing firms, workplaces, customers, or other professional relationships for the benefit of third parties without a legitimate reason also constitutes a serious problem under professional ethics.

Moreover, confidentiality obligations continue even after the termination of the affiliation relationship.

Therefore, the argument that “since I have already left EY New Japan, I can freely provide information” does not hold water.

The company should investigate the information provided by audit firm personnel or former personnel regarding the information provided, the date and method of providing the information, the content of the information, the purpose of the provision, the existence of a consideration, the internal sharing of the information, and whether it will be used for decision-making.

4 Was the fairness of the listing review itself not compromised?

If Mr. Saito, who is in charge of preparing for an IPO, had secretly used an auditor from the audit firm that was responsible for auditing our company or had been involved in auditing, and had obtained prior information about the decisions within the audit firm, the audit priorities, matters that could be problematic in the listing review, and matters that could be pointed out in financial reporting or internal control, that would be completely different from normal consulting.

The issue arises regarding the listing review and audit, which are inherently independent external verification procedures; the possibility that the reviewed party obtained internal information and took countermeasures becomes a problem.

If that is true,It is not logical to conclude that "there were no problems" just based on the fact that the review passed.

If the review subject had obtained the review party's internal information in advance, then it should be re-examined whether the acquisition of that information had indeed had an impact on the review results.

Please clarify whether the company has explained this matter to EY New Japan, the then lead registrar, the Tokyo Stock Exchange, and other relevant parties involved in the listing review process.

If you haven't explained it, please answer why you decided that it didn't need to be explained.

5 Regarding the information that Saito Goshiya continues to use certified public accountants from EY New Japan

Furthermore, our union believes that this matter is not a one-time issue limited to Mr. Oe,It is reported that Mr. Saito has continued to utilize his personal network with certified public accountants and other relevant personnel from EY New Japan, and is continuing to supply personnel to various companies or acquire internal information. They have been received.

If this is true, then the most serious matter for the company to address is:The possibility of past violations continuing into the presentIs.

In the case of a one-time inappropriate behavior in the past, a normal governance response such as fact-finding, rectification, and prevention of recurrence may be considered.

However, if the same person, the same network, and the same or similar methods of obtaining information have been repeated to this day, the problem is not the sporadic actions of an individual.

This becomes a structural problem that suggests that the company's internal control has recognized and accepted or utilized a continuous external information acquisition route.

6 About the possibility of falling under unauthorized employment agency activities

Furthermore, if Saito is alleged to have introduced certified public accountants and other professionals to companies and received compensation or other economic benefits for those introductions, it is necessary to verify the relationship with the Employment Security Act.

Under the Employment Stability Act, to operate a paid employment agency, a permit from the Minister of Health, Labor and Welfare is required as a general rule.

Therefore, if the act of taking a role between a specific company and a person and performing specific mediation to facilitate employment, and receiving compensation or other economic benefits in return, has been repeated and continued, it may be considered a professional referral business rather than a mere "introduction by a friend."

What matters is not the name.

"Consulting fee"
"Referral reward"
"Outsourcing fee"
"Consulting fee"

Even if it is given a different name, if the real purpose is job placement, an evaluation must be based on the actual situation.

Therefore, the company

Whether Mr. Saito or his associates hold a license to operate a paid employment agency,
The number of times that people are introduced,
Referral source,
Whether or not there is a reward,
Remuneration payer,
Correlation with the establishment of employment

Please investigate it.

7 The record of Representative Director and Chairman Watanabe Satoru being the source of information

There is one more serious point.

The labor union has access to information obtained from these audit firms and other human networks.Records have even been circulating that suggest that Chairman Watanabe is instructing it to be passed on as a source or shared with others.Information is being gathered.

One specific example is the information that the Tokyo Stock Exchange illegally obtained and passed on to Watanabe Makoto through Saito, containing information about the anti-social behavior of certain individuals, and that Watanabe Makoto then redistributed that information to various parties.

The labor union does not at this time determine this as a confirmed fact.

However, if this were true, the matter would not end with Saito-san’s personal problem.

The question is whether the company’s top management was aware of the information acquisition channel or the source of the information, whether it recognized the possibility that the information was secret information originating from a company auditor or a former company auditor, and whether it used that information for management decisions, personnel decisions, listing-related decisions, or other purposes.

And if the management has been continuously receiving and using information that raises doubts about its origin, then the problem is not just centered on the "party that leaked the information."

This involves corporate information control, compliance control, the duty of good-faith diligence by directors, and internal control issues.

8 We immediately demand that the company preserve the evidence.

Upon receipt of this request, the company requests that it immediately take measures to preserve relevant materials related to this matter.

Specifically, emails, LINE messages, other messages from Chairman Watanabe, Mr. Saito, and Mr. Uedofuji, internal chat messages, records of compensation payments,
Please take measures to ensure that the records of salaries, outsourcing fees, and other accounting records, recruitment-related documents, all communications with EY New Japan personnel, communications regarding personnel recruitment, communications with Chairman Watanabe, materials shared among our officers and employees, and materials related to the IPO preparations are not deleted, altered, or destroyed.

In particular, if related documents are lost after the request form is received, it will lead to even more serious problems with the company's internal control system itself.

9 We demand a formal inquiry into EY New Japan

An internal investigation within the company is not enough.

In this case, it is necessary to determine whether the audit firm at the time had knowledge of Mr. Hideo’s outside activities, whether it was aware of its economic relationship with the Company, whether it conducted an independence review, whether it performed any other approval procedures, whether it took any other measures beyond the exclusion from auditing duties, and so on.

Therefore, the company should formally contact EY New Japan Limited Liability Audit Firm and request a response, which should then be reported to the Board of Directors and the audit organization.

10 Do not treat these matters as just "a problem of past retirees."

Regarding this matter, the company

"Mr. Saito has already retired."
"Mr. Oeido is also not involved at the moment."

Answering things like that will not be an essential answer.

What is being questioned in this case is not the current status of their employment.

The reliability of the audit and review procedures used at the time of listing, the information acquisition system that has been in place since then, the human networks that may still be in place, and the possibility that the current management has received and utilized Saito’s information are all factors that should be taken into account.

Rather,Since information about this matter continues to be released, it is still an ongoing internal control issue.

11 Please provide a formal determination regarding the impact on maintaining listing.

Under the current system of the Tokyo Stock Exchange, false statements, improper opinions or non-expression of opinions, serious violations of listed contracts, serious violations of the oath taken upon initial listing, and serious problems with internal management systems could lead to delisting and other significant measures.

The labor union does not intend to immediately declare that this matter constitutes a delisting from the stock exchange.

However, if the matters pointed out here are indeed true and were kept secret at the time of the listing application or during the audit,

The assumptions underlying the audit opinion,
Prerequisites for listing,
Company declaration,
Internal management system,
Disclosure control

It is unreasonable not to formally consider the impact on

The Tokyo Stock Exchange considers false statements, serious violations of listed company agreements, violations of the oath made upon initial listing, and serious deficiencies in internal management systems to be subject to the decision to delist a company.

Therefore, the company conducts an investigation by external lawyers, certified public accountants, and other independent experts,

Whether to report to the Tokyo Stock Exchange,
Whether to correct past listing application materials,
Whether to report to an audit firm,
Whether or not disclosure is necessary,
Whether to conduct a re-audit or other measures

Please officially determine it.

12 Additional responses requested from the company

In light of the above, in addition to the matters previously requested, please answer the following questions.

The date of the first business relationship provide a written response regarding this matter.

13 employees have been suspended for "absenteeism" and the company has "lost its core foundation."

The company is conducting an investigation into an employee’s absence from work for the day, demanding explanations regarding their personal water bills, and is even taking disciplinary action against them.

If they claim such strict compliance, there is no reason not to explain this matter.

What is being asked of you this time is:

The independence of the auditor,
The fairness of the listing review process,
Confidential information of certified public accountants,
Personnel recruitment regulations,
Information flow to management,
And current internal control

Is.

It should not be a minor issue than an employee missing a day of very meaning of the term “compliance” that the company has been asking its employees to uphold is lost.

What the labor union is asking for is not special treatment.

The company itself must apply the same standards that the company has demanded of its employees.

That's all there is to it.

We request that the Board of Directors, the Audit Committee, and the Outside Directors formally handle this request and provide a written response through our labor
